These Terms of Service ("Terms") govern your use of the website oxone.ca and the services provided by Ox One Consulting Inc. ("OxOne," "we," "us," or "our"), located in Calgary, Alberta, Canada. By accessing our website or engaging our services, you agree to be bound by these Terms.
Services
OxOne provides website design, business automation, AI-powered tools, and consulting services for small businesses. The specific scope of work, deliverables, and timelines for any project will be agreed upon between you and OxOne before work begins.
Consultations & Bookings
Initial consultations booked through our website are provided at no charge and carry no obligation. Scheduling a consultation does not create a binding agreement to purchase services.
Payment Terms
Payment terms are outlined in each project proposal or agreement. Generally:
- One-time project fees: a deposit is required before work begins, with the remaining balance due upon project completion or as outlined in the project agreement.
- Monthly subscriptions: billed on a recurring monthly basis. You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period, and no further charges will be applied.
- Refunds: deposits for project work are non-refundable once work has commenced. Unused subscription time is not refunded upon cancellation.
All prices are quoted in Canadian dollars (CAD) unless otherwise specified.
Intellectual Property
Upon full payment for a completed project:
- Client ownership: you own the website files, custom code, and design assets created specifically for your project.
- Third-party assets: any stock photos, fonts, plugins, or third-party tools used in your project remain subject to their respective licenses.
- OxOne tools & templates: proprietary frameworks, automation templates, and internal tools developed by OxOne remain our intellectual property and are licensed for your use within your project, not transferred.
We reserve the right to showcase completed work in our portfolio unless you request otherwise in writing.
Client Responsibilities
To ensure smooth project delivery, you agree to:
- Provide necessary content, assets, and feedback in a timely manner.
- Review and approve deliverables within the agreed timeframes.
- Ensure that any content you provide does not infringe on third-party intellectual property rights.
Limitation of Liability
To the fullest extent permitted by law, Ox One Consulting Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our website or services. This includes, but is not limited to, loss of profits, data, business opportunities, or goodwill.
Our total liability for any claim arising from our services shall not exceed the total amount you paid to OxOne for the specific service giving rise to the claim.
We do not guarantee specific results, search engine rankings, or business outcomes from our services. Websites and digital tools are provided "as is" upon delivery, and ongoing performance depends on many factors outside our control.
Warranty Disclaimer
Our website and services are provided on an "as is" and "as available" basis. We make no warranties, express or implied, regarding the operation of our website or the accuracy, completeness, or reliability of any content or services provided.
Indemnification
You agree to indemnify and hold harmless Ox One Consulting Inc. and its owner from any claims, damages, or expenses arising from your use of our services, your breach of these Terms, or your violation of any third-party rights.
Termination
Either party may terminate a service agreement with written notice as specified in the project agreement. For monthly subscriptions, you may cancel at any time, effective at the end of the current billing period. We reserve the right to suspend or terminate access to our website or services if these Terms are violated.
Governing Law
These Terms are governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Alberta, Canada.
Changes to These Terms
We may update these Terms from time to time. Changes will be posted on this page with a revised "Last updated" date. Your continued use of our website or services after changes are posted constitutes your acceptance of the revised Terms.
Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
